1. Acceptance of Terms

By accessing or using Sabeeli Marketplace (“Sabeeli”, “the Platform”), you agree to be bound by these Terms & Conditions and all related policies, including the Seller Policy, Return & Refund Policy, Support Policy, and Privacy Policy.

2. About Sabeeli Marketplace

Sabeeli Marketplace is a technology platform connecting local and international NGOs, donors, volunteers, and ethical suppliers/service providers. Sabeeli acts as a facilitator and is not a party to user-to-user contracts unless explicitly stated.

3. Eligibility & Accounts

• You must be at least 18 years old to use the platform.
• You agree to provide accurate registration information and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials.

4. User Roles

• NGOs and project owners
• Donors and contributors
• Sellers, suppliers, and service providers
• Volunteers and general users

5. Platform Use & Conduct

• Use the platform for lawful and ethical purposes only.
• No fraud, misrepresentation, harassment, or abuse.
• No uploading of harmful, illegal, or misleading content.
• Respect humanitarian values and community standards.

6. Marketplace Transactions

• Transactions are generally between buyers and sellers directly.
• Sabeeli may facilitate payments, escrow, or milestone releases where applicable.
• Sellers are responsible for fulfillment; buyers are responsible for reviewing offers and agreements.
• Sabeeli does not guarantee outcomes unless explicitly stated.

7. Donations & Crowdfunding

• Donations are voluntary and generally non-refundable.
• Project funds may be allocated according to project needs and stated purposes.
• If a project is canceled, funds may be reassigned or returned when legally required.

8. Fees & Payments

• Sabeeli may charge platform, transaction, or processing fees.
• Optional premium features or visibility fees may apply.
• Fees will be disclosed prior to confirmation whenever applicable.

9. Intellectual Property

• Platform branding, software, and content are owned by or licensed to Sabeeli.
• You may not copy, redistribute, or reuse platform materials without permission.
• User-generated content remains yours, but you grant Sabeeli a license to use it to operate the platform.

10. Privacy & Data Protection

Sabeeli processes personal data in accordance with the Privacy Policy. While we apply reasonable security measures, no system is fully risk-free.

11. Disputes & Resolution

• Users should first attempt direct resolution.
• Sabeeli may intervene as a neutral facilitator where appropriate.
• Decisions rely on documented agreements and fairness.

12. Limitation of Liability

To the maximum extent permitted by law, Sabeeli is not liable for indirect or consequential damages, losses resulting from third-party actions, or disputes between users.

13. Indemnification

You agree to indemnify and hold harmless Sabeeli from claims arising from misuse of the platform, violation of these Terms, or breach of applicable laws or third-party rights.

14. Suspension & Termination

• Policy violations
• Fraud or abuse
• Legal or regulatory requirements

Sabeeli may suspend or terminate access where necessary, subject to applicable laws.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the platform constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of [Insert Jurisdiction], without prejudice to mandatory consumer protections.
